RESOLUTION OF THE BOARD OF DIRECTORS OF THE SAN
MARCOS COUNTY WATER DISTRICT TO ESTABLISH IN ITS
NAME A BANK ACCOUNT WITH THE BANK OF AMERICA
NATIONAL TRUST & SAVINGS ASSOCIATION, ESCONDIDO,
SAN DEGO COUNTY, CALIFORNIA, SAID ACCOUNT TO BE
CALLED THE SAN MARCOS COUNTY WATER DISTRICT BOND
INTEREST AND REDEMPTION ACCOUNT.
RESOLVED, That this District establish in its name a deposit
account which shall be called the San Marcos County Water District Board
interest and Redemption Account with the Bank of America National Trust and
Savings Association, Escondido, California, upon such term and conditions
as may be agreed upon with said bank and that the President, Vice President,
and Treasurer of this District be, and they are hereby authorized to establish
such an account, and
BE IT FURTHER RESOLVED, That John C. Wells, President; Stanley A.Mahr,
Vice President; and John L. Hazeltin, Treasurer, of San Marcos County Water
District be authorized to withdraw funds from said account, any two of the
above mentioned Directors qualifying with their signatures upon checks of this
District, signed as provided her,in with signatures duly certified to said
bank by the Secretary of this District, and said bank is hereby authorized
to honor and pay any and all checks so signed, including those drawn to the
individual order of any officer or other person authorized to sign the same.

I hereby certify that the foregoing is a full, true and correct
copy of the resolution adopted by the Board of Directors of the San Marcos
County Water District at a meeting of said Board regularly held on the 4th
day of September, 1956, and that the signatures appearing above are the
signatures of the persons duly authorized to withdraw funds of said District
from said bank in accordance with the above resolution until such authority
is revoked by giving written notice thereof to said bank signed by the officers
of said District thereunto duly authorized by its Board of Directors.
