RESOLUTION EXPRESSING INTENTION TO ENTER INTO UNIFORM CONTRACT FOR MEMBER
AGENCY PURCHASE OF TREATED WATER FROM THE SAN DIEGO
COUNTY WATER AUTHORITY — CARLSBAD DESALINATION PROJECT
Whereas, the San Diego County Water Authority is contemplating entering into an agreement titled
"Carlsbad Seawater Desalination Project Water Purchase Agreement between the San Diego County Water
Authority and Poseidon Resources (Channelside) LP dated as of November 29, 2012" ( "Poseidon WPA"); and
Whereas, under the Poseidon WPA the Water Authority intends to purchase at least 48,000 acre -feet
— 'annually of highly reliable, high quality desalinated water to the extent it is produced and made available for
delivery according to the terms of that agreement, as well as additional product water; and
Whereas, in June 2011 the Water Authority Board of Directors adopted guiding principles for the Water
Authority to make available to its member agencies under uniform contracts treated water in an amount up to a
total of 49 percent water purchased by the Water Authority under the Poseidon WPA; and
Whereas, the Water Authority has provided the member agency with the proposed Poseidon WPA; and
Whereas, the Water Authority has provided the member agency with a draft uniform contract pursuant
to the guiding principles,
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Vallecitos Water District as
follows:
SECTION 1: The Vallecitos Water District intends to enter into a uniform contract to purchase 3,500
acre feet of treated water per year as a local water supply.
SECTION 2: The Vallecitos Water District recognizes that the amount specified in paragraph 1. may
be reduced if the Water Authority receives statements of intention to purchase water in an amount that totals
more than 48,000 acre -feet annually.
SECTION 3: A copy of this resolution shall be provided to the Clerk of the Board of the San Diego
County Water Authority.
PASSED AND ADOPTED by the Board of Directors of the Vallecitos Water District at a regular meeting
held on this 21st day of November, 2012, by the following roll call vote:
