RESOLUTION BY
VALLECITOS WATER DISTRICT BOARD OF DIRECTORS
DESIGNATING SAN DIEGO COUNTY CREDIT UNION
AS A DEPOSITORY OF FUNDS FOR THE DISTRICT AND
AUTHORIZING DISTRICT PERSONNEL TO ACT AS REPRESENTATIVES AND
REPEAL RESOLUTION NO. 1431
RESOLVED, the San Diego County Credit Union (Credit Union) is designated a
depository of funds for the District;
RESOLVED, that this resolution shall continue to have effect until express written
notice of its rescission or modification has been received and recorded by San Diego
County Credit Union;
RESOLVED, that all transactions, if any, with respect to any deposits,
withdrawals and borrowings by or on behalf of the District with San Diego County Credit
Union prior to the adoption of this resolution is hereby ratified, approved and confirmed;
RESOLVED, that the persons named below, so long as they act in a
representative capacity as agents of the District, are authorized to make any and all
other contracts, agreements, stipulations and orders which they may deem advisable for
the effective exercise of their powers, from time to time with San Diego County Credit
Union, concerning funds deposited in San Diego County Credit Union, monies borrowed
from San Diego County Credit Union or any other business transacted by and between
the District and San Diego County Credit Union;
RESOLVED, that any and all prior resolutions adopted by the District and
certified to the San Diego County Credit Union as governing the operation of the
District's account(s), are hereby repealed;
RESOLVED, that the District agrees to the terms and conditions of any account
agreement, properly opened by any authorized representative(s) of the District, and
authorizes San Diego County Credit Union, at any time, to charge the District for all
checks, drafts, or other orders for the payment of money that are drawn on San Diego
County Credit Union, regardless of by whom or by what means the facsimile
signature(s) may have been affixed so long as they resemble the signature specimens
shown below, or facsimile signature specimens that the District files with the Credit
Union from time to time.

w 1. Open and close deposit accounts, sign account agreements, and sign contracts
-- for deposit - related and other services. Signatures required: 1
2. Sign and authorize checks, drafts, withdrawal slips, and any other orders for the
payment of money, whether by paper, electronic, or any other means, even if
payable to the signer or used to discharge or reduce any obligation of the signer.

3. Give releases, waivers, receipts, and notices of all kinds that relate in any way to
any relationship of the District with the Bank. Signatures required: 1
RESOLVED, that the secretary of the District is directed to certify and deliver a
copy of these resolutions to the Credit Union, the signature cards bearing the genuine
signatures of the persons named below, and any other documents that the Credit Union
requires.

BE IT FURTHER RESOLVED, that the Secretary of the District is directed and
certified by the Board of Directors of the District, and at the time of adoption of this
resolution has, full power and lawful authority to adopt the foregoing resolutions and to
confer the powers granted to the persons named above who have full power and lawful
authority to exercise the same.
