RESOLUTION OF THE BOARD OF DIRECTORS
OF THE VALLECITOS WATER DISTRICT
APPROVING AMENDMENT OF THE REVISED ESTABLISHMENT DOCUMENT
AND THE REVISED BASIC AGREEMENT
WITH THE ENCINA WASTEWATER AUTHORITY
WHEREAS, the Vallecitos Water District ("District") is a party to the Revised Establishment
Document ("RED") entered into on December 17, 1990, creating a public agency known as the
Encina Administrative Agency ("EAA"), later to become known as the Encina Wastewater Authority
("EWA"), to serve as the operator and administrator of the Encina Joint System, as described in the
December 17, 1990, "Revised Basic Agreement for Ownership, Operation, and Maintenance of a
Joint Sewage System" ("RBA"); and
WHEREAS, the Board of Directors of the Encina Wastewater Authority and the Joint
Advisory Committee ("JAC") have recommended to the contracting parties modifications of the
RED and RBA as necessary to change the billing procedures and consolidate the JAC into the EWA
Board; and
WHEREAS, such modifications do not change the powers, duties, or purposes of the RED,
RBA, or of the Encina Wastewater Authority, or the rights or obligations of the contracting parties;
and
WHEREAS, the Board of Directors of the Vallecitos Water District desires to approve such
changes;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Vallecitos Water
District as follows:
SECTION 1: It is hereby agreed that the RED and RBA shall be amended to change the
billing procedure to allow the EWA to bill and collect from the member agencies on a quarterly
basis, in arrears, for the actual costs incurred for the preceding quarter. The change would also
permit EWA to issue supplemental bills for operating expenses.
SECTION 2: It is hereby agreed that the RED and RBA shall be amended to consolidate
the functions of the Joint Advisory Committee into the Board of EWA.
SECTION 3: The Board of Directors of the Encina Wastewater Authority is hereby
authorized and directed to adopt a resolution to reflect the above changes in the RED and the RBA.
SECTION 4: This resolution shall be forwarded to the EWA immediately following its
adoption.
