RESOLUTION OF THE BOARD OF DIRECTORS OF THE
SAN MARCOS COUNTY WATER DISTRICT APPOINTING
SOUTHERN CALIFORNIA FIRST NATIONAL BANK AS
THE DISTRICT'S PAYING AGENT FOR BONDS OF THE
WATER DISTRICT AND IMPROVEMENT DISTRICTS NOS.
1, 2, 5 and 6
WHEREAS, the San Marcos County Water District, on behalf
of the Water District and Improvement Districts 1,2,5 and 6 has hereto-
fore issued and sold General Obligation Bonds,
WHEREAS, the District has heretofore appointed Bank of America
as the District's Co-paying Agent for said bonds.
NOW, THEREFORE, THE BOARD OF DIRECTORS OF THE SAN MARCOS COUNTY
WATER DISTRICT DOES HEREBY FIND, RESOLVE, DETERMINE AND ORDER AS FOLLOWS:
Section 1: The San Marcos County Water District does hereby
appoint the Southern California First National Bank (Vice the Bank of
America) as the paying agent for the payment of principle and interest
for bonds of the Water District and Improvement Districts Nos. 1, 2, 5
and 6 of the San Marcos County Water District.
Section 2: The Secretary of the San Marcos County Water
District is hereby authorized and directed to provide the Southern
California First National Bank (Vice the Bank of America) with a certi-
fied copy of this Resolution.
Section 3: The President and Secretary are hereby authorized
and directed to sign any and all documents to implement this Resolution.

ing roll call vote:
